These General Terms and Conditions (the “Terms and Conditions”) apply to contracts concluded through the VUCH online store available on the website at www.vuch.com (the “Website”) between our company and You as the customer.

1. INTRODUCTORY PROVISIONS

• 1.1 SUMMARY OF THESE TERMS AND CONDITIONS

  Under the Purchase Agreement, We undertake to deliver to You the goods specified in Your order (or a gift voucher, where applicable), and You undertake to accept the goods and pay the purchase price. To conclude the Agreement, You must place an order and We must accept it (see Section 2). Information on pricing can be found in Section 3. Available payment and delivery methods are set out in Sections 4 and 5. Information regarding the use of gift vouchers can be found in Section 6. Information about Your right to withdraw from the Agreement after receiving the goods is provided in Section 7. Any complaints and claims are governed by Our Complaints Procedure.

• 1.2 IS THIS A CONSUMER CONTRACT?

  A contract is considered a consumer contract if You are a consumer, i.e. a natural person purchasing goods outside the scope of Your business activities, trade, or profession. If this is not the case, the contract is not deemed to be a consumer contract, and You will not benefit from the consumer protection provided under applicable law and these Terms and Conditions.

• 1.3 WHAT GOVERNS OUR MUTUAL RIGHTS AND OBLIGATIONS?

  First and foremost, our relationship is governed by the Agreement, which consists of the following documents:

  • these Terms and Conditions, which set out our respective rights and obligations;
  • the Complaints Procedure, which governs how We handle complaints and claims relating to goods;
  • the Privacy Policy, which governs the protection of Your personal data;
  • the terms, conditions and instructions published on the Website, particularly those applicable when concluding the Agreement;
  • Your order and Our acceptance of that order;

  and, in matters not governed by the Agreement, our respective rights and obligations shall be governed by the laws of the Czech Republic, in particular by the following legal regulations:

  • Act No. 89/2012 Coll., the Civil Code, as amended from time to time (the “Civil Code”);
  • Act No. 634/1992 Coll., on Consumer Protection, as amended from time to time (only if You are a consumer).

  If Your place of residence or registered office is located outside the Czech Republic, or if our legal relationship contains any other international element, You agree that our relationship shall be governed by Czech law. However, if You are a consumer and the laws of Your country of residence provide a higher level of consumer protection than Czech law, You shall be entitled to that higher level of protection.

• 1.4 HOW DO YOU ACCEPT THESE TERMS AND CONDITIONS?

  By placing an order and confirming it on the Website, You acknowledge that You have read these Terms and Conditions and agree to be bound by them.

• 1.5 WHAT ELSE SHOULD YOU KNOW ABOUT THESE TERMS AND CONDITIONS?

  If any provision of these Terms and Conditions is or becomes invalid, ineffective, or unenforceable, it shall be replaced by a provision whose meaning and purpose most closely corresponds to that of the original provision. The validity of the remaining provisions shall remain unaffected.

  We may amend or supplement these Terms and Conditions from time to time. Your rights and obligations shall always be governed by the version of the Terms and Conditions that was in effect at the time they arose. Any amendments or additions to these Terms and Conditions may only be made in writing.

2. PURCHASE AGREEMENT

• 2.1 HOW DO WE CONCLUDE A PURCHASE AGREEMENT?

  To conclude the Agreement, You must place an order in accordance with these Terms and Conditions, and We must accept that order. Please note that the presentation of goods on the Website is for informational purposes only and does not constitute an offer to conclude a contract within the meaning of Section 1732(2) of the Civil Code.

• 2.2 HOW CAN YOU PLACE AN ORDER?

  You may place an order through the Website (by completing the online order form) or by any other method that We make available on the Website. The order must contain all information required in the order form.

  Before submitting Your order via the order form, You will be provided with an order summary, including the final price (inclusive of all taxes, duties and charges). At this stage, You will have a final opportunity to review and amend the information entered.

  You place a binding order by clicking the “CONFIRM ORDER” button, thereby committing Yourself to pay the full purchase price. We will treat the information provided in the binding order as accurate and complete. Should any of the details change, please notify Us without undue delay by telephone or email.

• 2.3 CAN YOU CANCEL OR AMEND AN ORDER THAT HAS ALREADY BEEN PLACED?

  You may cancel or amend an order that has not yet been accepted by Us by contacting Us by telephone or email. All orders accepted by Us are binding. Any subsequent cancellation or amendment of an order is only possible with Our prior agreement. If an order for goods in respect of which the right to withdraw from the Agreement does not apply (see Section 7 for details) is cancelled in this manner, We shall be entitled to reimbursement of any costs We have already incurred in connection with the Agreement.

• 2.4 HOW WILL YOU KNOW THAT WE HAVE ACCEPTED YOUR ORDER AND WHEN IS THE AGREEMENT CONCLUDED?

  We will notify You once We have received Your order. The order receipt confirmation is sent automatically and may also constitute Our acceptance of the order, provided this is expressly stated in the confirmation.

  The Purchase Agreement is concluded at the moment Our acceptance of Your order is delivered to the email address You provided in the order. If the order is not expressly accepted by Us, the Agreement shall be deemed concluded at the moment You take delivery of the ordered goods.

• 2.5 CAN YOU OBTAIN THE AGREEMENT IN WRITTEN FORM?

  The documents forming the Agreement will be sent to You by email or, at Your request, in printed form by post. If sent by post, We may ask You to reimburse the associated postage and handling costs.

  We store the documents forming the Agreement in electronic form. The Agreement is not accessible to third parties.

 

3. PRICE

• 3.1 CAN THE PRICE DISPLAYED ON THE WEBSITE CHANGE?

  If the price displayed for any goods on the Website or during the ordering process is no longer current, We will inform You of this fact without undue delay. However, any change in price occurring between the submission of Your order and Our acceptance of it shall not affect orders that have already been accepted.

  If a manifest technical error has occurred on Our part in displaying the price of goods on the Website or during the ordering process, We shall not be obliged to supply the goods to You at such clearly incorrect price due to the apparent nature of the legal act pursuant to Section 552 of the Civil Code, or due to a mistake pursuant to Section 571 of the Civil Code.

• 3.2 CAN DISCOUNTS ON GOODS BE COMBINED?

  Any discounts applicable to the price of goods may not be combined unless expressly stated otherwise on the Website.

• 3.3 WHAT CAN I USE MY DISCOUNT CODE FOR?

  You can use a discount code on almost all products. The only exceptions are new arrivals and products in the Limited and Laboratory collections.

 

4. PAYMENT TERMS

• 4.1 WHAT PAYMENT METHODS DO WE ACCEPT?

  You may pay the purchase price using the following methods:

  • by online payment card prior to delivery of the goods;
  • by online payment via a payment gateway prior to delivery of the goods;
  • by bank transfer to Our bank account prior to delivery of the goods (payment instructions will be provided in the order confirmation);

  Any additional payment methods and any fees associated with certain payment methods are specified on the Website.

  Online card payments and instant online bank transfers are processed through the Comgate payment gateway. The service provider, Comgate a.s., with its registered office at Gočárova třída 1754/48b, Pražské Předměstí, 500 02 Hradec Králové, Company ID No. 279 245 05, registered in the Commercial Register maintained by the Regional Court in Hradec Králové, Section B, File No. 3755, is a licensed Payment Institution supervised by the Czech National Bank.

  All payments made through the payment gateway are fully secure and all information is encrypted. Further information and contact details can be found on the Comgate a.s. website.

   

• 4.2 WHEN IS THE PURCHASE PRICE PAYABLE?

  If payment is made in cash, the purchase price is payable upon receipt of the goods. In the case of non-cash payment prior to delivery of the goods, the purchase price is payable within five days of acceptance of the order. Payment shall be deemed made when the relevant amount is credited to Our bank account or the account of the payment service provider. If We do not receive payment by the due date, We reserve the right to withdraw from the Agreement.

• 4.3 CAN WE REQUIRE A DEPOSIT OR PAYMENT IN ADVANCE?

  Please note that, pursuant to Section 2119(1) of the Civil Code, We are entitled to require You to pay the full purchase price for the goods (or a deposit) before the goods are dispatched or handed over to You.

  Please also note that if You choose to pay by bank transfer and make payment before the Agreement has been concluded in accordance with Clause 2.4, such payment shall be treated as a deposit towards the purchase price of the goods. If the Agreement is subsequently concluded, the deposit will be credited against the purchase price.

• 4.4 HOW DO WE ISSUE INVOICES?

  By agreeing to these Terms and Conditions, You consent to the issuance of invoices and other tax documents in electronic form.

 

5. DELIVERY TERMS

• 5.1 HOW DO WE DELIVER THE GOODS?

  The available delivery methods, including delivery charges, are set out on the Website. You may select Your preferred delivery method when placing an order.

  The order will always show the final price, which includes the cost of the selected delivery method.

  By prior agreement, We may also arrange insurance for the goods during transit. You shall be responsible for paying the insurance premium in accordance with the applicable rates published on the Website.

• 5.2 WHEN WILL WE DELIVER THE GOODS TO YOU?

  The delivery time always depends on the availability of the goods and the chosen method of transport and payment, but we will deliver the goods within thirty days of the agreement.

  However, we cannot influence the delivery time of external carriers. In case of problems regarding delivery time, please contact us and we will resolve the situation with the carrier.

  We usually ship goods that are in stock within two working days after receiving your order (when sending the goods cash on delivery or in case of picking-up in person), or after receiving the payment to our account.

  Goods that are not available in stock are shipped as soon as possible. We will inform you about the exact date.

  Delivery of goods according to these terms and conditions means the moment when the goods are delivered to you. If you unreasonably refuse to accept the goods, this fact is not considered a breach of the obligation to deliver the goods by us, nor a withdrawal from the contract from your side..

  You acquire the right of ownership of the goods at the time of payment of the full purchase price.

• 5.3 WHAT SHOULD YOU DO WHEN RECEIVING THE GOODS?

  Upon receipt of the goods, please check that the packaging is intact and undamaged. If You discover any defects or damage, please notify both the carrier and Us without undue delay. Refusing to accept a parcel with damaged packaging shall not be considered an unjustified refusal to accept the goods.

  The risk of accidental loss, damage or destruction of the goods passes to You at the moment You take delivery of the goods (or at the moment You were obliged to take delivery but failed to do so in breach of the Agreement).

• 5.4 WHAT HAPPENS IF YOU FAIL TO ACCEPT DELIVERY OF THE GOODS?

  If, for reasons attributable to You, the goods need to be delivered repeatedly or by a method other than the one agreed, You shall be responsible for any additional costs associated with such delivery.

  If You fail to accept delivery of the goods without valid reason within the delivery period specified in Clause 5.2, We shall be entitled to reimbursement of the costs incurred in connection with the delivery and storage of the goods, as well as any other costs arising as a result of Your failure to accept delivery.

  Where the goods have been dispatched on a cash-on-delivery basis, We shall also be entitled to withdraw from the Agreement. However, if You have already paid the purchase price (in the case of payment made prior to delivery), We shall further be entitled to arrange the sale of the goods by self-help in accordance with Section 2126 of the Civil Code.

 

6. REDEMPTION OF A GIFT VOUCHER

• 6.1 HOW CAN A GIFT VOUCHER BE REDEEMED?

  In order to redeem a gift voucher (the “Gift Voucher”), the Gift Voucher sent to You following Your order must be presented and redeemed with Us. The Gift Voucher will contain, in particular, the following information:

  • the monetary value of the Gift Voucher;
  • Our identification details, including the address of any premises where the Gift Voucher may be redeemed (unless it is an electronic Gift Voucher, in which case a redemption code will be provided);
  • the validity period of the Gift Voucher;
  • the unique numerical code of the Gift Voucher;
  • the method by which the Gift Voucher may be redeemed.

• 6.2 ARE THERE ANY RESTRICTIONS ON THE USE OF A GIFT VOUCHER?

  A Gift Voucher may only be redeemed once. The Gift Voucher is transferable and may be assigned to another person, including for consideration. Any person presenting a lawfully acquired Gift Voucher shall have the same rights as the person who originally purchased it.

  The period during which a Gift Voucher may be redeemed is limited. A Gift Voucher must be redeemed no later than the final day of its validity period.

  A Gift Voucher may be used for a single purchase only. Any unused balance remaining on the Gift Voucher will not be refunded.

• 6.3 WHEN MAY WE REFUSE TO ACCEPT A GIFT VOUCHER?

  Please note that in certain circumstances We may refuse to accept a Gift Voucher. This may occur where:

  • the Gift Voucher is presented after its expiry date;
  • the Gift Voucher has already been redeemed;
  • the Gift Voucher has been invalidated as a result of withdrawal from the Agreement.
     

 

7. WITHDRAWAL FROM THE PURCHASE AGREEMENT

• 7.1 HOW CAN YOU WITHDRAW FROM THE AGREEMENT?

  As a consumer, You have the right to withdraw from the Purchase Agreement without giving any reason within 14 days from the day on which You, or a person designated by You, takes delivery of the goods from the carrier. In addition to Your statutory rights, We allow You to withdraw from the Purchase Agreement within 30 days from the day on which You, or a person designated by You, takes delivery of the goods from the carrier; or

  • the last item of the goods, if You ordered multiple items under a single order and those items are delivered separately;
  • the final item or part of a delivery consisting of several items or parts; or
  • the first delivery of the goods, where the Agreement relates to the regular supply of goods over an agreed period.

  Withdrawal from the Purchase Agreement in respect of goods purchased as part of a promotional offer shall be governed by these rules.

  To withdraw from the Purchase Agreement, We recommend using Our Returns and Complaints form via the Retino service, which will guide You through the entire process. You should then promptly send the goods to Our correspondence address. • 7.2 WHAT ARE THE CONSEQUENCES OF WITHDRAWING FROM THE AGREEMENT?

  Upon withdrawal from the Agreement, the Agreement shall be deemed cancelled from the outset and treated as though it had never been concluded, including any obligations arising from ancillary contracts; this shall be without prejudice to the provisions of Clauses 7.4 and 7.5.

  If a gift was provided to You together with the goods with Your consent, the gift agreement shall cease to be effective upon withdrawal from the Agreement by either party. You must return the gift to Us together with the returned goods.

• 7.3 HOW SHOULD YOU RETURN THE GOODS TO US?

  You must return the goods to Us within 30 days of withdrawing from the Agreement by sending them to the following address:

  Please do not return the goods by cash on delivery, as We are not obliged to accept such shipments.

  When returning goods, We recommend including the following:

  • a copy of the delivery note and invoice (if issued), or any other document proving purchase of the goods;
  • a written notice of withdrawal from the Agreement (using Our form or otherwise) and details of Your preferred method of refund.

  Failure to provide any of the above documents shall not prevent Your withdrawal from the Agreement from being processed, provided the statutory conditions for withdrawal are met.

  Please attach the shipping label that We will send to Your email address once You have registered Your return through Retino, and return the parcel free of charge via GLS. We will cover the cost of return shipping to Us. If You choose a delivery method other than GLS, all shipping costs shall be borne by You.

• 7.4 WHEN WILL YOU RECEIVE YOUR REFUND?

  We will refund all payments received from You within 14 days of Your withdrawal from the Agreement. Please note, however, that We are not obliged to issue a refund before We have received the returned goods or before You have provided proof that the goods have been sent back to Us.

  In addition to the purchase price, You are also entitled to reimbursement of the delivery costs incurred in sending the goods to You. However, if You selected a delivery method other than the least expensive delivery option offered by Us, We will reimburse delivery costs only up to the amount corresponding to the cheapest available delivery method.

  We will refund You using the same payment method that You used for the original transaction (unless You inform Us of an alternative method within ten days of withdrawing from the Agreement and no additional costs arise as a result), or by any other method requested by You.

• 7.5 WHAT IF THE RETURNED GOODS HAVE BEEN DAMAGED?

  When returning the goods, please ensure they are packaged appropriately to prevent damage or destruction during transit.

  You may only handle and inspect the goods to the extent necessary to establish their nature, characteristics and functionality. If We determine that the goods returned by You have been damaged, worn, soiled or partially used, You shall be liable to Us for the resulting reduction in the value of the goods.

• 7.6 WHEN IS IT NOT POSSIBLE TO WITHDRAW FROM THE AGREEMENT?

  In accordance with Section 1837 of the Civil Code, the right to withdraw from the Agreement does not apply, among others, to the following types of contracts:

  • for the supply of goods that have been made to Your specifications or clearly personalised for You;
  • for the supply of goods that are liable to deteriorate or expire rapidly, as well as goods which, by their nature, have been inseparably mixed with other items after delivery;
  • for the supply of sealed goods which are not suitable for return for health protection or hygiene reasons once the seal has been broken by You.

  Please note that the purpose of a Gift Voucher is not the permanent acquisition of ownership of the Gift Voucher itself, but rather Your entitlement to receive the benefit specified on the Gift Voucher. The Gift Voucher therefore constitutes a service in nature. For this reason, in accordance with Section 1837(a) of the Civil Code, You are not entitled to withdraw from the Agreement if You have redeemed the Gift Voucher during the withdrawal period.

  By ordering a Gift Voucher, You acknowledge and agree to the above.

• 7.7 WHEN MAY WE WITHDRAW FROM THE PURCHASE AGREEMENT?

  We reserve the right to withdraw from the Agreement in the following circumstances:

  • We have not received the purchase price from You by the due date, or You have failed to accept delivery of the goods;
  • the goods cannot be supplied under the original conditions due to objective reasons (in particular because the goods are no longer manufactured, the supplier has ceased supplying them to the Czech Republic, etc.);
  • performance of the Agreement becomes objectively impossible or unlawful.

  If any of the circumstances listed above occur, We will inform You of Our withdrawal from the Agreement without undue delay.

  If You have already paid all or part of the purchase price, We will refund the amount received within five days of withdrawal from the Agreement by bank transfer to the account You provide for this purpose, or to the account from which the payment was originally made.

 

8. RIGHTS IN RESPECT OF DEFECTIVE GOODS

• 8.1 EXERCISING RIGHTS IN RESPECT OF DEFECTIVE GOODS

  Your rights in respect of defective goods are governed by the applicable generally binding legal regulations (in particular Sections 1914–1925, 2099–2117 and, if You are a consumer, Sections 2158–2174b of the Civil Code). When handling claims relating to defective goods, We will act in accordance with Our Complaints Procedure.

  The exercise of rights relating to defective goods purchased as part of promotional offers shall be governed by these rules.

9. ADDITIONAL INFORMATION FOR CONSUMERS

• 9.1 WHAT AUTHORISATIONS DO WE HOLD TO CARRY OUT OUR BUSINESS ACTIVITIES?

  We are authorised to sell goods on the basis of a trade licence. Our business activities are not subject to any other licensing or authorisation requirements.

• 9.2 HOW DO WE HANDLE COMPLAINTS?

  Any complaints may be submitted via Our contact email address. We will review each complaint and endeavour to resolve it without undue delay after receipt. You may also contact the relevant Trade Licensing Office or the Czech Trade Inspection Authority (Česká obchodní inspekce).

• 9.3 WHAT RIGHTS DO YOU HAVE IN THE EVENT OF A CONSUMER DISPUTE?

  If You are a consumer and a dispute arises between Us under the Agreement which cannot be resolved directly between Us, You have the right to refer the dispute to the Czech Trade Inspection Authority (Česká obchodní inspekce) (address: Česká obchodní inspekce, Central Inspectorate – ADR Department, Gorazdova 1969/24, 120 00 Prague 2; website: www.coi.cz, www.adr.coi.cz; email: adr@coi.cz; telephone: +420 296 366 360) or to the Czech Consumer Association (Sdružení českých spotřebitelů, z. ú.) (address: Pod Altánem 99/103, 100 00 Prague 10 – Strašnice; website: www.konzument.cz; email: spotrebitel@regio.cz; telephone: +420 261 263 574) for the purpose of out-of-court consumer dispute resolution. You may exercise this right no later than one year from the date on which You first asserted the right that is the subject of the consumer dispute.

  To submit a complaint concerning goods or services purchased from Us and to find an alternative dispute resolution body, You may also use the online platform established by the European Commission at: http://ec.europa.eu/consumers/odr/.

 

10. REGISTRATION ON THE WEBSITE

• 10.1 HOW CAN YOU REGISTER ON THE WEBSITE?

  By registering through the registration form on the Website, a user account will be created. You must keep Your login credentials confidential. We accept no liability for any unauthorised use of a user account by a third party.

  All information provided during registration must be accurate and complete. We may, without compensation, cancel any account that has been created using false or incomplete information. If any of Your details change, We recommend that You update them in Your user account without undue delay.

• 10.2 WHAT IS THE USER ACCOUNT USED FOR?

  Through Your user account, You may in particular place orders, track Your orders, and manage Your user account. Any additional features of the user account will be described on the Website.

• 10.3 WHEN MAY WE CANCEL YOUR USER ACCOUNT?

  Please note that We reserve the right to cancel Your user account without compensation if Your account is used in a manner that violates good morals, applicable laws, or these Terms and Conditions.

 

11. REVIEWS

• 11.1 WHO CAN SUBMIT A REVIEW?

  All user reviews published on the Website are written by genuine customers to whom We have supplied the goods they ordered.

  Reviews may only be submitted after a purchase has been completed on the Website, either via a link sent to the customer by email or through the customer’s user account on the Website.

  The Website may also display reviews that have been published by Our customers on publicly available online platforms, in particular Google, Heureka and Firmy.cz.

• 11.2 HOW DO WE VERIFY REVIEWS?

  We verify every review before it is published. Reviews may only be submitted by customers who have completed a purchase through the Website.

  Before displaying and publishing reviews from the public online platforms listed above on the Website, We verify that the reviews were written by genuine customers of Ours.

  If We discover that a review was submitted by someone who has not made a purchase through the Website, We reserve the right to remove the review or refrain from publishing it.

 

12. COPYRIGHT PROTECTION, LIABILITY AND USE OF THE WEBSITE

• 12.1 IS THE CONTENT OF THE WEBSITE PROTECTED BY COPYRIGHT?

  The content of the Website (including, without limitation, the text of these Terms and Conditions, photographs, images, logos, software and other materials) is protected by Our copyright and/or the rights of third parties. You may not modify, copy, reproduce, distribute or otherwise use any such content for any purpose without Our prior consent or the consent of the relevant rights holder. In particular, it is prohibited to make photographs and text available from the Website, whether free of charge or for consideration, without authorisation.

  The names and designations of products, goods, services, companies and businesses may be registered trade marks of their respective owners.

• 12.2 LIABILITY AND USE OF THE WEBSITE

  We shall not be liable for any errors resulting from interference by third parties with the Website or from use of the Website contrary to its intended purpose. When using the Website, You must not engage in any activities that could disrupt the operation of the system or place an unreasonable burden on it.

  If, while using the Website, You engage in any unlawful or unethical conduct, We shall be entitled to restrict, suspend or terminate Your access to the Website without any compensation. In such a case, You shall also be liable to compensate Us in full for any damage demonstrably caused by Your conduct under this provision.

  Please note that by clicking on certain links available on the Website, You may leave the Website and be redirected to third-party websites.

  If You win a Vuška in a competition, the prize is considered a gift, i.e. a gratuitous benefit for which the winner has not incurred any financial cost. For this reason, a prize Vuška cannot be exchanged or returned, including by way of withdrawal from a Purchase Agreement.

  However, the winner is entitled to make a complaint. If the complaint is upheld, the Vuška may be exchanged either for the same product or for another product of the same or lower value.
